JDSP Speed & Agility 8 week Program Agreement

IMPORTANT: This agreement affects legal rights. An adult athlete—or a parent/legal guardian if the athlete is under 18—must read and sign it before program access begins.

Agreement

Parties and acceptance. This Agreement is between JD Speed Performance LLC ("JDSP") and the athlete identified above. If the athlete is under 18, "Athlete" includes the athlete and the signing parent/legal guardian. By signing electronically or on paper, Athlete accepts every term below.

Program purchase and delivery. Athlete is purchasing access to the self-guided JDSP 8-Week Speed & Agility Program. JDSP will deliver the program through TrainHeroic or another platform selected by JDSP. The purchase includes scheduled workouts, exercise demonstrations, written instructions, and performance tracking as described at checkout. This purchase is not a membership, recurring subscription, or personalized coaching service. It does not include live supervision, consultations, video analysis, individualized modifications, or ongoing coaching support unless JDSP separately agrees in writing.

Personal-use license. JDSP grants Athlete a limited, revocable, nonexclusive, nontransferable license to personally use the purchased program during the stated access period. Athlete receives permission to use the program—not ownership of the program or any JDSP intellectual property.

Confidentiality and prohibited use. The program, its structure, sequencing, written instructions, coaching notes, graphics, and other JDSP-provided materials are confidential and proprietary. Athlete shall not, without JDSP’s written permission:

  • copy, photograph, screen-record, download, reproduce, publish, post, distribute, or share program content except for Athlete’s personal training use;

  • share login credentials or allow another person to access the program;

  • sell, sublicense, teach, coach from, commercially use, or create a competing product substantially copied from JDSP materials;

  • remove or obscure JDSP copyright, trademark, confidentiality, or ownership notices; or

  • provide the program or its content to another trainer, coach, team, business, or organization.

JDSP ownership. JDSP retains all rights, title, and interest in its original program content, branding, written expression, graphics, videos, compilations, and other protectable materials. No implied license or ownership right is granted. General exercises, training methods, systems, and ideas remain subject to applicable law.

Enforcement and termination. Unauthorized use or sharing is a material breach. JDSP may immediately suspend or terminate access without refund and may pursue available legal remedies. Athlete agrees to promptly delete or return unauthorized copies upon request. These confidentiality, ownership, payment, liability, and dispute provisions survive termination.

 

Participation and safety

Health responsibility. Athlete confirms that Athlete is physically able to participate or has obtained appropriate medical clearance. Athlete will disclose relevant injuries, medical conditions, restrictions, medications, or symptoms to a qualified healthcare professional and, when requested, to JDSP. Athlete will not participate while impaired or against medical advice.

No medical care or live supervision. JDSP’s program is educational athletic training and is not medical diagnosis, treatment, physical therapy, rehabilitation, nutrition therapy, or emergency care. Program workouts are self-guided and performed without JDSP physically present. Athlete is responsible for selecting a safe training area, using equipment properly, following facility and team rules, using an appropriate surface, and stopping immediately if pain, dizziness, breathing difficulty, or other concerning symptoms occur.

Assumption of risk. Athlete understands that sprinting, agility, plyometrics, resistance training, conditioning, and related activities involve inherent and other risks, including falls, collisions, equipment failure, overexertion, muscle or joint injury, concussion, illness, permanent disability, and death. Athlete voluntarily chooses to participate and assumes all risks to the fullest extent permitted by Michigan law, including risks arising from Athlete’s environment, equipment, execution, health, or failure to follow instructions.

Release and limitation of liability. To the fullest extent permitted by Michigan law, Athlete releases and agrees not to hold liable JDSP and its owner, employees, contractors, agents, and representatives for claims arising from ordinary negligence connected with participation or use of the program. This provision does not waive claims that cannot legally be waived, including gross negligence or willful misconduct. Athlete is responsible for medical and other costs resulting from participation.

No guaranteed result. Training response varies. JDSP does not guarantee speed improvements, playing time, selection, scholarships, contracts, injury prevention, or any particular athletic result. Results depend on attendance, effort, recovery, nutrition, health, outside workload, and other factors beyond JDSP’s control.

 

Payment, access, and administration

Fees and refunds. Fees are due before access begins. Because access provides immediate entry to proprietary digital content, all sales are final after access is issued, except where required by law or expressly stated in writing by JDSP. Missed workouts, schedule conflicts, team obligations, travel, injury, or failure to use the program do not automatically create a refund, extension, transfer, or credit.

Account and platform. Athlete is responsible for accurate account information, maintaining secure credentials, compatible technology, and compliance with the platform’s terms. Platform interruptions outside JDSP’s reasonable control do not transfer ownership of content or permit copying. JDSP may use another reasonable delivery method if needed.

Privacy and communications. Athlete authorizes JDSP to use contact, training, completion, and performance information as reasonably necessary to deliver and administer the program. JDSP will not publicly use Athlete’s name, image, video, testimonial, or identifiable results for marketing without separate permission. Athlete consents to program-related electronic communications.

Team and school obligations. Athlete remains responsible for complying with school, college, team, league, facility, athletic-department, medical-staff, and eligibility requirements. Athlete should coordinate outside training with appropriate team personnel. If instructions conflict, Athlete will pause the conflicting activity and seek appropriate direction.

Governing law and disputes. Michigan law governs this Agreement, without regard to conflict-of-law principles. Before filing a lawsuit, the parties will first attempt in good faith to resolve the dispute through written notice and informal discussion. Any legal action shall be brought in a court of competent jurisdiction in Michigan, unless applicable law requires otherwise.

Entire agreement and severability. This Agreement, the purchase description, and any separately accepted JDSP policies form the entire agreement concerning this program. A written amendment accepted by JDSP and Athlete may modify it. If a provision is unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will continue. Failure to enforce one provision is not a waiver.
